BD finalizes $4.2B acquisition of Edwards Lifesciences critical care unit

Franklin Lakes-based Becton, Dickinson and Co. () closed its previously announced $4.2 billion acquisition of Edwards Lifesciences’ Critical Care product group, the medical technology company announced Sept. 3. 

More than 10,000 hospitals worldwide use the newly renamed BD Advanced Patient Monitoring’s devices to help medical teams better understand patients’ cardiovascular conditions. The portfolio includes the Swan Ganz pulmonary artery catheter, minimally invasive sensors, noninvasive cuffs, tissue oximetry sensors and monitors.

According to BD, the move expands its roster of smart connected care solutions and advanced artificial intelligence-enabled clinical decision tools.

“The health care industry is being redefined by AI, robotics, and autonomous solutions, and our team continues to accelerate the application of these new technologies to improve the quality and cost of patient care around the world,” BD Chairman, CEO and President Tom Polen said in a statement. 

He added that the acquisition puts “BD at the forefront of enabling the future of health care.” 

“Edwards’ underlying rationale for separating critical care remains the same: we are laser focused on pursuing a strategy centered on structural heart disease,” Edwards CEO Bernard Zovighian said when the deal was announced June 3. “Our goal is to serve large unmet patient needs with our differentiated innovations while extending our global leadership, delivering sustainable growth and increasing shareholder value.” 

What changes?

BD Advanced Patient Monitoring will remain in Irvine, Calif. It will operate as a separate business unit within BD’s Medical segment. 

In June, BD said Critical Care has approximately 4,500 employees, mostly based in Irvine. In 2023, the business generated more than $900 million in revenue. 

Katie Szyman has served as corporate vice president of the critical care group since 2015. With the acquisition, she was named worldwide president of the new BD Advanced Patient Monitoring. Szyman now reports to Mike Garrison, executive vice president and president of the BD Medical segment. 

BD said the acquisition is expected to have “an immaterial impact” to its previously disclosed fiscal year 2024 guidance.
