Spencer Spirit Holdings Inc. is acquiring Hot Topic, BoxLunch and Her Universe from private equity firm Sycamore Partners.
The Egg Harbor Township-based parent company of novelty retailer Spencer’s and seasonal chain Spirit Halloween did not disclose financial terms in its Aug. 6 press release.
However, Bloomberg reported the deal could be worth $350 million.
Along with uniting “six iconic, highly complementary retail concepts,” Spencer Spirit said the move would expand its total footprint to more than 3,000 stores across North America.
A shopping mall staple, Spencer’s has more than 650 locations across the U.S. and Canada. The brand sells gag gifts, décor, apparel, jewelry, backpacks, accessories and games.
Considered the go-to place for costumes, props, accessories and decorations, Spirit Halloween typically opens more than 1,500 locations every year for spooky season. Spencer Spirit is also bringing back its Christmas-themed concept for a third year in 2026. The company expects to open 44 sites for the holiday season.
Hot Topic’s namesake banner sells music-, entertainment- and pop culture-inspired apparel, accessories and collectibles. It has more than 615 spots in the U.S. and Canada.
Meanwhile, decade-old pop culture retailer BoxLunch sells licensed apparel, accessories and collectibles at its 280-plus stores. Her Universe is a 16-year-old online fashion brand specializing in “fandom-centric apparel and accessories.”
According to the announcement, Hot Topic, BoxLunch and Her Universe will continue to operate independently from the Spencer Spirit business and maintain their headquarters in California.
Additionally, Hot Topic CEO Steve Vranes will remain in his role and report directly to Spencer Spirit CEO Steven Silverstein. Vranes will be responsible for overseeing day-to-day operations and strategic growth for Hot Topic, BoxLunch and Her Universe, according to the press release.
The parties expect the transaction to close during the third quarter of 2026.
Silverstein said, “Joining forces creates an incredible platform of distinctive, established brands that share a passion for product, storytelling, and customer experience. While our operating models and strategies cater to unique and different audiences, our core values, mission, and commitment to innovation are completely aligned. This transaction enhances our long-term durability, broadens our reach, and positions us to write the next chapter of retail history together.”
Vranes shared, “This partnership marks an exciting milestone for our brands, team members, and customers. By joining a complementary portfolio while maintaining our operational independence, we can build on the tremendous growth our teams have delivered over the past decade and drive even more opportunities for expansion.”
The deal would also end Sycamore’s 13-year stewardship of the brand. The firm took the retailer private when it acquired Hot Topic in a roughly $600 million deal.
Sycamore Managing Director Dary Kopelioff said, “We’ve worked closely with the management team to drive significant growth across its three brands, and this transaction represents an outstanding outcome for Sycamore and our investors.”

Based in New York City, Sycamore’s investments also include Walgreens, Village MD, Staples, Lane Bryant, Staples, The Limited, Torrid and Jersey Shore-born Playa Bowls.
