Prime Healthcare Services was selected as the new owner of Saint Michael’s Medical Center in Newark.The winning figure, after 17 rounds of bidding, was $62 million. The bid put Prime ahead of Prospect Medical Holdings. Prospect bid $63 million, but a breakup fee for Prime would put Prospect’s bid $500,000 below its rival’s.
The final bid meets the minimum requirements of bond trustee New York Mellon, which filed a last minute objection to the sale, stating that a $60 million minimum would be required.
“It’s been a long and arduous process,” said Saint Michael’s CEO and President David Ricci.
Saint Michael’s was forced into Chapter 11 bankruptcy protection in August, when the state did not sign off on its sale to California-based Prime, which had been under review for more than two years. Subsequently, Prospect and Prime emerged as two prospective buyers.
U.S. Bankruptcy Court Judge Vincent Papalia ruled that bids for Saint Michael’s had to meet or beat Prime’s offer — which was $49 million, in addition to investing $25 million in the facility and keeping it open for five years.
In addition to the $13 million above to the stalking horse bid, Prime also agreed to invest a total of $50 million in capital improvements, rather than $25 million, over the next five years.
“Almost three years ago, Prime came to the table with the best offer to sustain the medical center,” Ricci said. “Today, they remain a committed partner and have renewed that commitment by paying $62.2 million and improving several material terms of their asset purchase agreement. Most critically, the Prime sale will ensure that Saint Michael’s has a vibrant future, continues to serve the community and preserves the more than 1,400 jobs of its dedicated staff.”
“The bankruptcy auction process brought out the best in these two high quality bidders. The board considered every aspect of the offers and meticulously exercised its fiduciary duty in selecting Prime. The hospital is looking forward to presenting Prime’s bid to the bankruptcy court for approval on Thursday and hopes that, given this rigorous sale process, the state will quickly issue all regulatory approvals,” said Michael Sirota, attorney for Saint Michael’s.
A hearing before Papalia is scheduled for Thursday, at which Prime will be recommended to the judge, who will ultimately approve or deny the sale.

NJBIZ names Forty Under 40 for 2015
NJBIZ is proud to present its Forty Under 40 honorees for 2015. These awards honor the New Jersey business community’s rising stars — the names to remember in the years to come. The accomplished young professionals chosen this year have many things in common, including making headlines in their field and sharing a commitment to business…But most of all, they share success and influence at a young age.
Nominees were required to be an owner, partner, president, c-suite executive or other senior-level manager working in New Jersey, and had to be 39 years old or younger as of Sept. 28, 2015.
An independent panel of judges chose the best 40 from a wide variety of candidates across a number of industries, based on criteria that included professional accomplishments, leadership, vision and community service.
Winners will be honored at an awards reception Monday, Sept. 28, at The Palace at Somerset Park.

Which N.J. companies made the Inc. 5000 fastest-growth list?
Inc. revealed its annual Inc. 5000 list of the fastest-growing private companies in America this month, and 143 New Jersey firms earned a place on the list.They ranged in size from $2 million in revenue to more than $400 million, and some had revenue growth in the quadruple digit percentages.
The No. 1 company on the Inc. 5000 was Ultra Mobile, based in Costa Mesa, California. The virtual network operator had three-year revenue growth of 100,849 percent and 2014 revenue of $118.2 million.
The top company in New Jersey ranked 33rd on the overall list. That was GoPole, a Pompton Plains-based supplier of GoPro camera accessories. It recorded 7,693 percent three-year revenue growth, and posted 2014 revenue of $9.5 million.
The Garden State list was not dominated by small companies, however. Companies like Marketsmith, with more than $100 million in 2014 revenue, ranked among the New Jersey leaders — and, in the case of the Cedar Knolls marketing firm, in the Top 100 overall.

Hackensack edges Morristown for state’s top hospital in prestigious U.S. News rankings
Hackensack University Medical Center was once again named the top hospital in New Jersey by the prestigious U.S. News & World Report Best Hospitals rankings, which were released Tuesday morning.Hackensack was nationally ranked in five of the identified specialties and rated “high performing” in six others, helping it earn the No. 4 overall honor in the New York City area.
Morristown Medical Center earned the No. 2 spot in the state and No. 5 in the area after being nationally ranked in four specialties and high performing in five others.
The Kessler Rehabilitation Institute in West Orange was the only other New Jersey hospital to earn a national ranking, finishing No. 3 overall for rehabilitation. Kessler, because it is not a general medical-surgical hospital, is not considered for the New Jersey or area ranking.

Robert Wood Johnson University Hospital in New Brunswick (No. 8) and Jersey Shore University Medical Center in Neptune (tied for No. 10) were the only other state hospitals to make the area Top 10.
Only 144 of the nearly 5,000 hospitals that were analyzed earned a national ranking in even one specialty. Having five national rankings puts Hackensack among the Top 50 hospitals.
Of those 50, Hackensack was one of only five to be ranked as high performing in five common care rankings (knee replacement, hip replacement, COPD, heart failure and heart bypass surgery).
Robert C. Garrett, the CEO and president of Hackensack University Health Network, said he was thrilled to see the hospital be ranked so highly in so many areas of care.
“I’m obviously thrilled by Hackensack’s rankings in so many specialties, but I’m also proud of the fact Hackensack offers such complete care,” he said.
“If you need care for common ailments, you know you’re going to get great expertise and great hospital care at Hackensack. But if you need something more, if you need specialized care, I’ve been saying for years, you don’t have to go to New York City. We have it here, and these rankings prove it every year.”

Brian Gragnolati, CEO and president of Atlantic Health System, said the rankings affirm Morristown Medical Center’s commitment to providing quality care.
“Five years ago, Morristown Medical Center broke into the Top 50 hospital designation with its rankings in cardiology & heart surgery,” he said in a prepared statement. “Our efforts throughout the organization in bringing together top physicians to work collaboratively and our investments in facilities and technology have resulted in national and regional acclaim, but we strive for more. I am working with leaders throughout AHS to determine not only how to maintain our national recognition for Morristown Medical Center, but how to enhance other key services throughout our system that are critical to patients and their families.”
U.S. News evaluates hospitals in 16 adult specialties. In most specialties, it ranks the nation’s Top 50 hospitals and recognizes other high-performing hospitals that provide care at nearly the level of their nationally ranked peers.
Hackensack was nationally ranked in neurology and neurosurgery (No. 28 in the nation), cardiology and heart surgery (No. 42), urology (No. 42), orthopedics (No. 47) and geriatrics (No. 48).
Hackensack was high performing in cancer, ear nose and throat, gastroenterology and GI surgery, gynecology, nephrology and pulmonology.
Morristown was nationally ranked in orthopedics (No. 29), pulmonology (No. 45), cardiology and heart surgery (No. 45) and geriatrics (No. 50).
And it was high performing in gastroenterology and GI surgery, gynecology, nephrology, neurology and neurosurgery, and urology.
Other New Jersey hospitals ranked in the area include Saint Peter’s University Hospital in New Brunswick (tied for No. 12), University Medical Center of Princeton in Plainsboro (tied for No. 12), Overlook Medical Center in Summit (tied for No. 16) and Holy Name Medical Center in Teaneck (tied for No. 18), Riverview Medical Center in Red Bank (tied for No. 18), Valley Hospital in Ridgewood (tied for No. 24) and University Hospital in Newark (tied for No. 26).

Welcome to the first edition of NJBIZ’s 50 Wealthiest New Jerseyans, an inside look at the richest of the state’s many power players. Our slideshow features the state’s most affluent people, as well as their net worth and how they made their fortune.

A careful reader will find that the list cuts across industries from technology to the financial sector and beyond. Compiling this special section was not simple, nor was it a task to be taken lightly.
When people think about mega-wealth, places like Silicon Valley — with its “Microsoft millionaires” and other digital elite — spring to mind. But New Jersey also has its share of individuals for whom six-figure amounts are no more than a rounding error. Clustered in North Jersey, they’re mostly middle-aged or older males, and unlike their West Coast counterparts, they’ve tended to make their fortunes from investing, instead of from pure technology plays.
Here is a look at why and how this was put together:
Why we did it:
We could have simply put together a list of New Jersey’s wealthiest people, but NJBIZ believes that readers — business owners, executives and other people on the way up — don’t just want numbers; they’re also looking for useful information.
That’s why we supplemented the raw numbers with a bit of background. We figured that revealing how these uber-wealthy got to the economic stratosphere might help others to reach those lofty heights. We also tell you a bit about their personal stories because success is about more than just numbers — each individual also brings his or her particular quirks, talents and other characteristics to the table.
How we did it:
Determining how much a person is worth is not an easy job. It means combing through publicly available documents, including news reports and Securities & Exchange Commission filings, and tapping other sources.
In some cases, net worth numbers were reported in reputable publications; where possible, we verified those values with our own research. When an individual’s wealth was tied to public companies, we dug into SEC filings and other documents; but the net worth of most of our 50 Wealthiest New Jerseyans is tied up in privately held companies that usually don’t divulge things like sales or market capitalization.
To determine their net worth, we first had to find a publicly held company that was in the same line of business. Then we dug up whatever information we could on the private company — gross sales, number of employees, production or sales volume and other metrics — and compared them to the public business’s number. We then developed a ratio (generally, the private firm’s size as a percentage of the public company) and applied it to the market capitalization of the publicly held firm to determine the valuation of the private company. If we were reasonably certain that the private firm is owned by more than one person, we allocated the valuation accordingly.
In some cases, the individual previously sold his or her company for a considerable sum. When that happened, we used the reported sales price as a guide to the person’s valuation.
We recognized that our numbers are estimates, so we backstopped our calculations twice: first, by running them by independent industry insiders who told us if they thought we were just about right, too low or too high. Then, we reached out to the Wealthy 50 (directly, when we could get a phone number or email, or through representatives when we couldn’t), ran the numbers by them and asked for their thoughts.
The responses — directly or through their legal or other representatives — varied. Some people disagreed with our estimate and provided reasonable proof of alternative numbers — in those cases, we adjusted our valuation. Others either said that we were wrong — but declined to provide us with a different number — or simply asked to be deleted from the list, without offering their own number. In those cases, we told them, we had no choice but to use our estimate.

Mercedes laying off more than 250 workers in Montvale as part of move to Georgia
When Mercedes-Benz USA moves its headquarters from Montvale to the Atlanta area this summer, not everyone is going along for the ride.The German luxury automaker’s American unit issued a WARN notice this week saying 259 employees would be laid off as of June 30. In the notice, dated April 29, it added that while approximately 375 workers in Montvale were offered the opportunity to relocate, only 203 opted to do so.
Some of the carmaker’s approximately 1,000 employees in Montvale will remain in New Jersey, it has said.
WARN notices normally cover mass layoffs or facility closings as part of the Worker Adjustment and Retraining Notification Act of 1989.
